Terms of Service

Last updated August 30, 2026

These terms govern your use of Any.win, the service where you hire AI employees that do real work. The service is operated by GEXC Labs (“we”, “us”). By creating an account or using the product you agree to these terms and the Acceptable Use Policy.

1. The service

Any.win lets you create an AI Employee (internally an Agent) with a goal, models, skills, memory, knowledge, schedule, approval policy, and run history. You connect the model keys and tools you already pay for. Dangerous actions pause until a human approves. We do not operate a marketplace, sell other people’s employees, or post to LinkedIn or X for you.

2. Accounts and workspaces

You must be at least 18 and able to form a contract. V1 is one workspace per user. You are responsible for activity under your login, API keys (`aw_live_…`), and connected OAuth accounts. Keep credentials secret. Tell us promptly if you believe an account is compromised.

3. Plans and billing

Free, Pro ($29 / month), and Builder ($79 / month) are billed by employee seats and monthly runs, not token invoices. Paid plans are processed by Stripe. You can cancel in Settings → Billing. Cancellation takes effect at the end of the paid period. We do not prorate unused runs. Downgrade to Free turns schedules off and does not delete employees. We may change prices with notice before the next renewal.

4. Your content and keys

You retain rights to goals, instructions, memory, knowledge, run inputs, and drafts you create. You grant us a limited license to host, process, and display that material only to operate the service (including running models and skills you enabled). Bring-your-own API keys and OAuth tokens are encrypted at rest. You must have the right to upload knowledge and to connect third-party accounts. Do not paste secrets into public employee pages or instructions you make public.

5. AI output and approval

Model and tool output can be wrong, incomplete, or off-brand. You review work before anything is sent. Approving a payload (email, Slack, HTTP, webhook) is your instruction to execute that payload. You still publish social posts. You are responsible for what goes out under your accounts and for complying with third-party terms (Gmail, Slack, GitHub, search providers, and the sites an employee fetches).

6. Public pages and forks

If you set an employee to Unlisted or Public, a page at /a/… may show name, goal, skill names, run and fork counts, success rate, and KPI targets — not your API keys and not KPI actuals. Fork copies configuration into another workspace, not credentials or run history. Public “Run” uses the visitor’s keys, not yours.

7. Acceptable use

You must follow the Acceptable Use Policy. We may suspend or terminate accounts that break it.

8. Availability and changes

We provide the service as-is. Hard limits apply per run (tool calls, model calls, wall time, approval pauses). We may modify features, templates, and plan limits. Frozen items in our V1 spec (marketplace selling, SSO, private cloud, and similar) are not part of these terms as current deliverables.

9. Disclaimers and liability

To the fullest extent allowed by law, the service is provided without warranties of merchantability, fitness, or uninterrupted operation. We are not liable for model errors, third-party outages, or content you approve. Our aggregate liability for a claim is limited to the fees you paid us in the three months before the claim. We do not exclude liability that the law does not allow us to exclude.

10. Termination

You may stop using the service and request account deletion via [email protected]. We may suspend access for unpaid invoices, abuse, or legal risk. After termination we delete or anonymize workspace data within a reasonable period, except records we must keep (billing, abuse logs).

11. Law

These terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except where a mandatory consumer court applies.

12. Privacy, cookies, and processing

The Privacy Policy, Cookie notice, and Data Processing Addendum are part of these terms.
